We, the members of the Bedford Council of Faiths, recognising the need to encourage and promote the knowledge, understanding and respect of the beliefs and practices of religious faiths and denominations and further recognising and respecting common ground among the religions but also their unique characteristics, do declare this to be the

CONSTITUTION OF BEDFORD COUNCIL OF FAITHS

  • NAME

    The association shall be called the Bedford Council of Faiths.

  • OBJECTIVE

    The objective of the Council is the promotion of religious harmony for the benefit of the public in Bedford and environs
    (hereinafter referred to as Bedford).

  • PURPOSE AND AIMS

    To promote religious harmony for the benefit of the public in Bedford and environs by:
    • promoting knowledge and mutual understanding and respect of the beliefs and practices of different religious faiths
    • advancing education and understanding of different religious beliefs including an awareness of their distinctive features and their common ground to promote good relations between persons of different faiths.

  • PATRON

    A patron or patrons may be appointed by the Council on the recommendation of the Committee, who must first seek their written consent. Voting will be by secret ballot at the Annual General Meeting (AGM) . They will be appointed for a term of five years.

  • MEMBERSHIP

    Membership is open to individuals of all faith groups within the Bedford area, who are sympathetic to the aims of the association. Associate membership may be available, at the discretion of the committee, to ‘corporate bodies’. Representatives of corporate bodies will not be eligible to vote at the AGM or serve on the committee. The level of membership subscriptions, for both individual and corporate bodies is set at the AGM each year. Membership of the Council is only valid when the subscription fee has been paid.

  • TRUSTEES

    There shall be at least five Trustees and the first Trustees will be appointed by the Committee. Trustees will be appointed for a term of five years and are eligible for reappointment for one further term.

    The Trustees have the legal responsibility of ensuring that the Charity is administered in accordance with the terms of the Constitution. It is not necessary for the Trustees to hold meetings independently of the Committee but if any Trustee wishes to call a meeting of Trustees, such meeting shall be convened as soon as possible. Any resolution of a Trustees' meeting shall override a decision of the Committee.

    TRUSTEES’ DUTIES AND RESPONSIBILITIES

    • The Trustees may acquire, mortgage and dispose of property, not merely to use the same for the fulfilment of the above objects, but also by way of investment, and may acquire, mortgage or dispose of any other investments in their discretion.
    • The Trustees shall have the power to collect donations and to make donations, and to give assistance of any kind to any other charitable organization in order that such other charitable organization may pursue activities consistent with the objective of this charity set out in clause 2 above, provided that the Council / Trustees shall not undertake any permanent trading activities in raising funds for its charitable objects.
    • It is recognised that the precise ways in which the said objects should be fulfilled are likely to change and that it may be desirable to change the administrative structure of the charity from time to time, provided such changes are not inconsistent with the provisions of this Constitution. The Trustees, in addition to the powers conferred by Section 23 of the Trustee Act 1925 may employ any duly qualified or competent agent or servant to transact any or all business within the scope of his or her expertise, of whatever nature required to be done in furthering the said objects and shall be entitled to be allowed and paid all reasonable and proper out-of-pocket expenses incurred by them provided that all acts and proceedings of such agent or servant to whom the powers are so delegated shall be fully and promptly reported back to the Trustees as soon as possible and provided further that the Trustees shall exercise reasonable supervision over such agent or servant.
    • The Trustees shall keep, or cause to be kept, proper books of account.
    • If the Committee decides to increase the number of trustees to ensure good governance, it may do so
    • The power to appoint new Trustees shall be exercised in the following manner:
      • the new Trustee shall be appointed by a majority of the Trustees present and voting having due regard for the purpose and aims of the Council and having consulted where appropriate and feasible with the acknowledged leaders of the religion of the proposed Trustee.
      • such appointment shall only be valid if notice of the meeting together with an agenda containing the name and address of the proposed Trustee has been sent to all the Trustees at least 7 days before the meeting.
    • Any Trustee who is incapacitated from acting or who is adjudged bankrupt or makes a composition or arrangement with his / her creditors or who shall become permanently resident outside the United Kingdom, or who is declared by a resolution passed and signed by a majority of the Trustees, to be unfit to act as a Trustee, or who communicates in writing to the Trustees a wish to resign, shall thereupon cease to be a Trustee.
    • In execution of the trusts hereof the Trustees shall not be liable for any loss to trust property arising by reason of any improper investment made in good faith by any Trustee hereof (providing professional advice shall have been sought before making such investment), or by reason of any action of any agent or employee appointed by the Trustees hereof in good faith (provided reasonable supervision shall have been exercised) or by reason of any other matter or thing other than wilful and individual fraud or wrongdoing or wrongful omission on the part of the Trustee who is sought to be made liable.

  • OFFICERS AND COMMITTEE

    • The Council at its AGM shall elect Committee members. The Committee will be made up of no more than two representatives from each of the nine faiths represented on the UK Interfaith Network Council plus the Society of Friends. (The nine faiths are: Jewish, Christian, Muslim, Hindu, Sikh, Buddhist, Baha'i, Jain and Zoroastrian)
    • Nominations for the Committee may be made prior to or at the AGM. The Committee shall elect the following officers at its first meeting after the AGM:

    • The Committee members and officers shall be eligible for re-election for the coming years.
    • Any vacancy caused during the year shall be filled by the Committee. Such appointment shall remain in force throughout the unexpired period. The Committee shall have power to nominate any sub-committee from its members and officers to carry out any specific activity.
    • The Committee shall have power to co-opt up to one third of its membership from the Council to the Committee. These shall have full voting rights.

  • MEETINGS

    • The Annual General Meeting shall be held in January or February of each year. The Chairperson's report and the Treasurer's audited accounts shall be presented; the Committee shall be elected and any other necessary business transacted.
    • In addition to the AGM, there shall be not less than two Committee Meetings in each year open to all members at which the quorum shall be one third of the members of the Committee.
    • The Committee may replace any of its members who fail to attend three consecutive Committee Meetings.
    • The Chairperson shall have power to convene Extra-ordinary General Meetings if needed.
    • The notice for a Committee Meeting shall be at least 7 days and for a General Meeting 21 days.
    • Each member shall have the right of one vote at General Meetings. The Chairperson shall have the right of a second or casting vote in case of a tied vote at all meetings.

  • FINANCE

    The financial year shall run from 1st January to 31st December. The Treasurer shall open an account in the name of the Council and present independently examined accounts at the Annual General Meeting. The Council shall, at the Annual General Meeting, give authority to the Treasurer and up to three other members to sign cheques. All cheques must be signed by at least two signatories.

    In accordance with, and in furtherance of, its purposes and aims, the Council may raise funds and receive contributions from any person or organisation and subscriptions from members. The subscription will be agreed at the AGM and shall be paid within two months after the AGM.

  • AMENDMENTS

    Amendments to the Constitution may be made at a General Meeting. Twenty-one days notice must be given of any such resolution and the amendment shall have immediate effect.

  • DISSOLUTION

    The Council may be dissolved by a resolution passed by a two-thirds majority of those present and voting at a Special General Meeting convened for the purpose of which 21 days' notice shall have been given to the members. Such resolution may give instructions for the disposal of any assets held by or in the name of the Council, provided that if any property remains after the satisfaction of all debts and liabilities such property shall not be paid to or distributed among the members of the Council but shall be given or transferred to such other charitable institution or institutions having objects similar to some or all of the objects of the Council as the Council may determine and if and in so far as effect cannot be given to this provision then to some other charitable purpose.
